1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and AI Could Never, Inc. ("Company," "we," "us," or "our") regarding your access to and use of the Groove mobile application, website at groove.life, and related services (collectively, the "Service").
By creating an account, accessing, or using the Service, you affirm that you are at least 13 years of age, that you have read and understood these Terms, and that you agree to be bound by them. If you are under 18, you represent that you have obtained consent from a parent or guardian.
We may update these Terms periodically. Continued use of the Service after changes constitutes acceptance of the revised Terms. We will provide notice of material changes through the app or by email.
2. Your Account
To use most features of Groove, you will need to create an account. You are responsible for:
- Providing accurate, current, and complete information during registration
- Maintaining the security of your account credentials
- All activity that occurs under your account
- Notifying us promptly of any unauthorized use of your account
You may not create accounts for other people without their permission, create multiple accounts for abusive purposes, or transfer your account to another person without our written consent.
We reserve the right to refuse service, terminate accounts, or remove content at our discretion, with or without notice, for any reason, including violation of these Terms.
3. The Service
Groove is a social outdoor activity platform that allows users to discover and share skating and outdoor movement activities, connect with other users, find routes and events, and build community around outdoor recreation.
We provide the Service on an "as available" basis. We may modify, suspend, or discontinue any part of the Service at any time without notice or liability. We are not obligated to provide any particular feature or functionality.
The Service may include features that allow real-time location sharing with other users. These features are always opt-in and under your control. You can adjust your location settings at any time.
4. User Conduct
You agree to use Groove only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Service to harass, threaten, intimidate, or harm other users
- Post content that is illegal, defamatory, obscene, or that violates third-party rights
- Impersonate another person or misrepresent your affiliation with a person or entity
- Use the Service to spam, advertise unsolicited products, or engage in commercial solicitation
- Attempt to gain unauthorized access to any part of the Service or other users' accounts
- Use automated tools to scrape, crawl, or systematically extract data from the Service
- Circumvent any technical measures we use to provide or protect the Service
- Use the Service in any way that could damage, overburden, or impair the Service
- Violate any applicable laws or regulations
We may investigate reports of violations and take appropriate action, including removing content, suspending accounts, and reporting activity to law enforcement.
5. Your Content
You retain ownership of the content you post to Groove, including photos, routes, reviews, and messages ("User Content"). By posting User Content, you grant AI Could Never, Inc. a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display that content as necessary to operate and improve the Service.
You represent and warrant that you have the rights to post your User Content and that it does not violate any third-party rights, including intellectual property rights or privacy rights.
We may remove User Content that violates these Terms, applicable law, or our community guidelines. We are not obligated to store, backup, or make your User Content available to you after account deletion.
6. Intellectual Property
The Groove Service, including its software, design, text, graphics, logos, and other content (excluding User Content), is owned by AI Could Never, Inc. or our licensors and is protected by copyright, trademark, and other laws.
"Groove" and the Groove logo are trademarks of AI Could Never, Inc. You may not use our trademarks without our prior written consent.
You may not copy, modify, distribute, sell, or lease any part of our Service, nor may you reverse engineer or attempt to extract the source code of our software.
7. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.
We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant the accuracy of any route, location, or other data provided through the Service.
The Groove app helps you find people and places for outdoor activity. We are not responsible for the actions of other users or for conditions at any location you visit based on information from the Service.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AI COULD NEVER, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
- Your use of or inability to use the Service
- Any conduct or content of other users
- Any content obtained from the Service
- Unauthorized access, use, or alteration of your transmissions or content
IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100) OR THE AMOUNT YOU PAID TO ACCESS THE SERVICE IN THE TWELVE MONTHS PRIOR TO THE CLAIM.
9. Safety Notice
Groove involves outdoor physical activity, including skating, which carries inherent risks. By using the Service:
- You acknowledge that outdoor physical activity involves risk of injury
- You agree to wear appropriate safety equipment, including helmets and pads where appropriate
- You agree to comply with all applicable laws and regulations regarding skating and outdoor activities in your jurisdiction
- You agree not to engage in activities that endanger yourself or others
Route information and conditions in the Service are user-generated and may be inaccurate or outdated. You are responsible for assessing conditions and making safe decisions about your own activity. Groove does not provide professional safety advice.
10. Termination
You may delete your account at any time through the app settings. Deletion will remove your personal data as described in our Privacy Policy.
We may terminate or suspend your account immediately, without notice or liability, if you breach these Terms or engage in conduct that we determine is harmful to other users, the community, or the Service. Upon termination, your right to use the Service will immediately cease.
Sections of these Terms that by their nature should survive termination will survive, including sections on intellectual property, disclaimers, limitations of liability, and governing law.
11. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of California, without regard to its conflict of law provisions. You agree to submit to the personal jurisdiction of the state and federal courts located in Los Angeles County, California, for the resolution of any disputes arising from these Terms or your use of the Service.
Before filing any legal claim, you agree to first contact us at legal@groove.life and attempt to resolve the dispute informally. We will make reasonable efforts to resolve the matter within 30 days.
12. Miscellaneous
Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and AI Could Never, Inc. regarding your use of the Service.
Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
Waiver. Our failure to enforce any provision of these Terms shall not be deemed a waiver of that provision.
Assignment. You may not assign your rights under these Terms without our prior written consent. We may assign our rights without restriction.
No Third-Party Beneficiaries. These Terms are for your benefit only and do not create any third-party beneficiary rights.
